General Terms and Conditions (GTC) of styro ag
1. Area of validity
styro ag sells to business/private customers (hereinafter referred to as the "Customer") the goods specified in the printed catalogue, on the Internet or in written offers according to the following Terms and Conditions of Delivery and Contract (T&C). The customer expressly agrees to these terms and conditions by placing an order. The written form is required for any agreements that deviate from these terms and conditions.
2. Offer
We reserve the right to make price, product range and technical changes. All offers are not binding and non-committal. Errors and misprints reserved.
3. Conclusion of the agreement
Only an order from the customer and acceptance of the order by styro ag shall constitute a contract between the customer and styro ag. The customer's order is placed by telephone, in writing or by e-mail. styro ag accepts the order by: (a) sending the customer an order confirmation (by fax, e-mail, or post); or (b) delivering the ordered goods (delivery note).
4. Pricing
All prices are in Swiss Francs (CHF) excluding VAT (VAT rate subject to change), unpacked, unpaid ex warehouse Steinen. Separate charges will be made for transport and packaging. All prices are subject to change without prior notice.
5. Delivery / Terms and conditions of delivery
Delivery is free of charge for orders over CHF 300 (net, excluding VAT). Orders up to CHF 299 will be shipped and packaged at a cost of CHF 15 per package or CHF 60 per pallet. For orders below CHF 50 (net excl. VAT), an additional handling fee of CHF 10 will be charged. In the case of express deliveries or fixed delivery dates outside the tour schedule, the actual cost of transport and packaging will be charged in addition. If special packaging is required for shipping, this will be invoiced at our cost and not refunded. New customers may be required to make a payment in advance of delivery. New customers are subject to a credit check. styro ag reserves the right to carry out orders only if payment is made in advance.
6. Payment terms
Invoices are to be paid in full within 30 days of the date of the invoice. Any unjustified deductions will be claimed at a later date. If payment is not made by the due date, the purchaser shall be deemed in default without a reminder and owe styro ag default interest of 5%. Any costs incurred for the collection of payments will be charged to the customer in their full amount. WIR cheques are not accepted. It is not permitted to offset the purchase price against any counterclaims of the buyer.
7. Retention of ownership
The delivered goods remain the property of styro ag until all claims arising from the purchase contract have been fulfilled.
8. Complaints and return of goods
Complaints must be made in writing within 8 days of the date of the delivery note. Otherwise, the delivery will be deemed to have been accepted. The cost of returning the goods is the responsibility of the purchaser. In order for the goods to be returned, the following conditions must be met:
- All materials are new, complete, functional and in original packaging.
- The return must be accompanied by a copy of the delivery note.
If the goods are returned for reasons beyond our control, we will charge 20% of the net value of the goods to process the return. Excluded from the right to return are non-stock items specially made to order, non-stock items, special productions and consumables (bulbs, batteries), returned goods from drop shipments and customized installations. Return consignments will be the subject of a goods credit note.
9. Warranty period
Unless otherwise stated, 2 years from date of invoice. The invoice is the warranty card. The warranty does not cover damage resulting from modifications or repairs made by the customer, wear and tear, force majeure or failure to follow the instructions in this manual. Consumable materials such as lamps and batteries are not covered by the warranty.
10. Governing Law
Our business activities are governed exclusively by the laws of Switzerland. The place of performance and the place of jurisdiction is Schwyz.
